MOYOPAL TERMS OF SERVICE

1. Acceptance & Scope

By accessing or using the services provided by Moyopal Inc. ("Moyopal"), including KlaimsFAI and Moyoflow (collectively, the "Services"), you agree to be bound by these Terms. These Terms constitute a binding B2B agreement between Moyopal and the authorized Healthcare Provider or Insurance Entity ("Client").

2. Nature of Services & AI Disclaimer

2.1 Administrative Tool Only

The Services are designed to automate administrative and operational workflows. Moyopal does not provide medical advice, diagnosis, or treatment. The Client remains solely responsible for all patient care decisions and clinical outcomes.

2.2 AI Probabilistic Nature

The Client acknowledges that the Services utilize Artificial Intelligence (AI) and Machine Learning technologies. While we strive for accuracy, AI is probabilistic by nature and may produce errors ("hallucinations"). High-impact decisions (such as claim denials) should always be subject to human review.

3. Confidentiality (The "Trust" Clause)

3.1 Definition

"Confidential Information" means all non-public information disclosed by one party to the other, including patient data, financial rates, and proprietary algorithms.

3.2 Protection

Moyopal agrees to hold all Client Confidential Information in strict confidence and use it solely for the purpose of providing the Services. We will not sell, trade, or disclose your proprietary business logic to third parties.

4. Intellectual Property & Data Rights

4.1 Client Data

You retain 100% ownership of all data, files, and patient records you upload to the Service ("Client Data").

4.2 Moyopal IP

Moyopal retains all rights, title, and interest in the Services, including the AI models, UI/UX, and underlying code.

4.3 Feedback License

You grant Moyopal a non-exclusive, worldwide, royalty-free license to use anonymized, aggregated usage data to improve our machine learning models (e.g., fraud detection patterns), provided such data cannot identify any specific individual or organization.

5. Service Level Agreement (SLA) & Support

We commit to a 99.9% Uptime Guarantee during business hours.

Exclusions: We are not liable for downtime caused by "Force Majeure" events, including Internet Service Provider (ISP) failures, power outages, localized fiber cuts, or changes in government regulations. -

6. Limitation of Liability (The "Shield")

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

6.1 No Consequential Damages

Moyopal shall not be liable for any indirect, incidental, special, or consequential damages (including lost revenue, denied claims, or data loss) arising from the use of the Service.

6.2 Liability Cap

Our total cumulative liability to you for any and all claims shall be strictly limited to the amount actually paid by you to Moyopal in the six (6) months preceding the incident.

7. Mutual Indemnification (The "Big League" Clause)

7.1 By Moyopal

We will defend and indemnify you against any third-party claim stating that our Service infringes on their Intellectual Property Rights.

7.2 By Client

You will defend and indemnify Moyopal against any claim arising from your violation of Data Protection Laws or misuse of patient data.

8. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Any unresolved disputes shall be settled via binding arbitration in Nairobi, under the rules of the Chartered Institute of Arbitrators (Kenya Branch).
